These Air Canada Embarq™ Terms and Conditions (the "Terms and Conditions") constitute an agreement between Air Canada and the business or not-for-profit organization that qualifies as an “Eligible Business” under the “Program". 

1. Program

The Air Canada Embarq™ program (the “Program”) is a centralized travel management program for Eligible Businesses that provides access to Air Canada benefits and is managed through the Air Canada Embarq Portal.

Air Canada reserves the right, at any time and in its sole discretion, to i) accept or deny enrollment, ii) cancel, deactivate, modify or otherwise terminate an Eligible Business' account in the Program; or iii) to amend this Program, including but not limited to eligibility requirements.

2. Eligibility

To be eligible for the Program, the business or not-for-profit organization must qualify as an “Eligible Business” by meeting the following eligibility criteria: 

• Must be doing business in Canada or have a Canadian-based office; and
• Must be registered in Canada for applicable tax purposes.

Businesses or not-for-profit organizations that have an existing corporate agreement with Air Canada are excluded from the Program. 

The Program is not available to travel agencies, wholesalers, tour operators, or other third-party travel distributors (each, a "Travel Agency"). A Travel Agency may not enroll in, participate in, or act in any capacity under the Program. To qualify for Program benefits, travel must be booked directly through the Program and not by a Travel Agency acting on behalf of the Eligible Business. 

3. Enrollment

The Eligible Business will authorize one active employee as its sole “Primary Corporate Travel Manager” or “Primary CTM” to duly complete the enrollment process by: 

• Associating the Primary CTM’s Aeroplan number to the Eligible Business’ Program account; 
• Duly completing the enrollment form at embarq.aircanada.com; and
• Providing Air Canada with any additional information or documentation to confirm eligibility under the Program. 

Upon approval of the enrollment by Air Canada, the Eligible Business will be assigned a unique Program account number.

4. Program Roles and Responsibilities

4.1 Corporate Travel Manager (CTM).

An Eligible Business may designate one or more Corporate Travel Managers within the Program portal to manage on its behalf the Eligible Business Program account, including arranging travel on behalf of Eligible Travellers and Guest Travellers.

The individual who enrolls the Eligible Business will, by default, be designated as the only “Primary Corporate Travel Manager” or “Primary CTM”. Should the Eligible Business change its Primary CTM, it must associate the new Primary CTM’s Aeroplan number to the Program account. Reference to Corporate Travel Manager or CTM in the Terms and Conditions shall include the “Primary Corporate Travel Manager” or “Primary CTM”. 

4.2 Travel Arrangers.

An Eligible Business may designate one or more Travel Arrangers through the Program portal. A Travel Arranger facilitates travel booking activities for the Eligible Business on behalf of Eligible Travellers and Guest Travellers. 

4.3 Eligible Travellers

An "Eligible Traveller" is an individual who meets the following criteria:

• Employed or contracted by the Eligible Business or its subsidiary or affiliate;
• Travelling for a business purpose related to the Eligible Business, with travel costs expensed directly by the Eligible Business or its subsidiary or affiliate;
• Successfully registered and approved to participate in the Program by Air Canada; and
• An Aeroplan member in good standing.

4.4 Guest Travellers

A "Guest Traveller" is an individual for whom travel is booked under the Program but who is not registered as an Eligible Traveller. Guest Travellers may travel on bookings made under an Eligible Business account by a Travel Arranger or CTM, provided that such travel is for a legitimate business purpose related to the Eligible Business. The Travel Arranger and/or CTM may book business travel on the Guest Traveller’s behalf. No action is required by the Guest Traveller. Guest Travellers do not have access to the Program portal and may not book travel directly through the Program. The Eligible Business is responsible for ensuring that Guest Traveller bookings comply with these Terms and Conditions. 

4.5 Eligible Business’ responsibility

The Eligible Business remains responsible for all activity conducted under its Program account by a CTM, Travel Arranger or Eligible Traveller, and must promptly remove individuals no longer authorized under the Eligible Business’ account. 

5. Inactive Eligible Business

Air Canada reserves the right to provide information only to an "Active" Eligible Business. An "Active" Eligible Business is defined as a business that has enrolled in the Program within the last 12 months or has tracked two travel activities in the previous 12 months. Air Canada reserves the right to deactivate, cancel, or terminate any account after 12 months of inactivity. Air Canada has no obligation to advise an Eligible Business that its account has been deactivated, canceled or terminated.

6. Consents 

The Eligible Business represents and warrants that it has obtained and recorded all necessary permissions, authorizations, notices, and consents from Eligible Travellers and Guest Travellers required to permit Air Canada to collect, use, share and process applicable information in connection with the Program, including consent for: 
 
(a) their name and email address with Air Canada for the purpose of registration; and 
 
(b) their Program profile, including but not limited to creating, modifying or cancelling their bookings.

7. Benefits under the Program 

The Program offers benefits which are subject to eligibility requirements and may not be available for all fare types, booking classes, routes, or transactions.

8. Personal Information

In order to administer the Program, Air Canada will collect and use the following personal information of Eligible Travellers and Guest Travellers, as applicable:

• Their first, last name and work email address, which will be used to validate their employment with the Eligible Business and that they qualify for the Program. 
• Their Aeroplan member number, which will be used to credit Aeroplan points. 
• Personal information contained in their communications and interactions with us.
• Their booking and travel activity information (e.g. flights booked, travel dates, fare class), which will be used to administer the Program, credit Aeroplan points, and generate Program reporting.
• To create their accounts under the Program;
• To communicate with them, such as to advise them of changes in the Program and, if they receive marketing communications, to market and send them offers of benefits, products and services that relate to the Program and that are likely to be of interest to them;
• As permitted or required by applicable law or regulatory requirements;
• To address questions, requests, complaints and inquiries they might have; and
• To protect our business or legal interests, such as to investigate, detect or prevent fraud or harm to our systems or to establish, exercise or defend against claims.

Disclosure of personal information

Air Canada will disclose the relevant personal information listed above to Aeroplan for the purpose of crediting Aeroplan points to the designated Aeroplan account and otherwise administering the Program. This information will be collected, used and disclosed by Aeroplan in accordance with its Privacy Policy.

Air Canada may also disclose personal information to third parties as required or permitted by law, in accordance with its Privacy Policy.

9. Limitation of Liability 

By enrolling in the Program, the Eligible Business agrees to release and discharge Air Canada, its affiliates and representatives, and each of its respective officers, directors, agents, representatives, successors and assigns, from any loss, liability, claim, demand, damage or expense asserted by any person or entity including, without limitation, relating in any way i) to the Eligible Business’, Corporate Travel Managers’, Guest Travellers’, Travel Arrangers’ and Eligible Travellers’ participation in the Program; or ii) the Eligible Business’, Corporate Travel Managers’, Guest Travellers’, Travel Arrangers’ and Eligible Travellers’ breach, or non-compliance with the Program and its Terms and Conditions or any applicable laws.

Air Canada reserves the right to terminate an Eligible Business’ participation in this Program. 

10. Governing Law

The Program, including these Terms and Conditions, shall be governed by the laws of the province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles. 

11. Dispute Resolution

Any dispute or claim arising out of or in connection with the Program and its Terms and Conditions offered by Air Canada shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.

12. Termination

If an Eligible Business wishes to terminate its membership in the Program, the request must be sent to Air Canada via the support form by the Primary Corporate Travel Manager. The support form can be accessed by signing into the Air Canada Embarq Portal and choosing Business Support in the Help section.

13. Conditions of Carriage

All transportation and related service provisions are subject to Air Canada’s General Conditions of Carriage and Tariffs. In the event of any conflict, Air Canada’s General Conditions of Carriage and Tariffs shall prevail.

14. Other Terms 

Obligations under these Terms and Conditions may be assigned by Air Canada without notice. Air Canada shall benefit from any and all liability limitations set forth herein. Air Canada does not waive its rights by delaying or failing to exercise them at any time. If any provision of these Terms and Conditions is found to be invalid or unenforceable under any rule, law, or regulation of any governmental agency, local, provincial or federal, the validity or enforceability of the remaining provisions of these Terms and Conditions shall remain in full force and effect.

Air Canada reserves the right to modify, suspend, or cancel this Program at any time, without prior notice. Your continued participation in the Program shall constitute your acceptance of any updates to these Terms and Conditions. 

All benefits of the Program are conditional upon acceptance of (and compliance with) these Terms and Conditions, Air Canada’s General Conditions of Carriage and Tariffs, Air Canada’s fare rules, the rules and policies described in the Aeroplan Program terms and conditions, the terms and conditions described elsewhere throughout AirCanada.com and all other applicable Air Canada rules and regulations (collectively, the “Program Rules”). These Program Rules are subject to change at any time. Air Canada has the sole right to interpret and apply these Program Rules. The Eligible Business is responsible for reviewing the Program Rules periodically for updates or changes.

These Air Canada Embarq™ Eligible Traveller Terms and Conditions (the "Terms and Conditions") constitute an agreement between Air Canada and you, the employee or contractor of the “Eligible Business” that qualifies as an “Eligible Traveller” under the “Program”. 

1. Program

The Air Canada Embarq™ program (the “Program”) is a centralized travel management program for Eligible Businesses that provides Eligible Travellers, such as yourself, with access to certain Air Canada benefits. The Program is managed through the Air Canada Embarq Portal. 

Air Canada reserves the right, at any time and in its sole discretion, to i) accept or deny your enrollment as an Eligible Traveller, ii) cancel, deactivate, modify or otherwise terminate your participation in the Program; or iii) amend this Program, including but not limited to eligibility requirements, benefits, and these Terms and Conditions.

2. Eligibility 

To be an "Eligible Traveller" you must meet the following criteria:

• Employed or contracted by the Eligible Business or its subsidiary or affiliate;
• Successfully registered and approved to participate in the Program by Air Canada; and
• An Aeroplan member in good standing.

3. Rules relating to Eligible Traveller

The following terms and conditions apply to the Eligible Traveller:

• All travel performed by you in relation to the Program must be for business purposes related to the Eligible Business or its subsidiary or affiliate, with travel costs expensed directly by the Eligible Business or its subsidiary or affiliate.
• You must provide accurate information within the program account, including but not limited to your name, work email and Aeroplan number; and
• Your booking under the Program is limited to one (1) passenger per booking and corresponding Passenger Name Record (PNR).

4. Personal Information

Air Canada will collect and use the following personal information in connection with the Program:

• Your first, last name and work email address will be used to validate your employment with the Eligible Business and create your Eligible Traveller account.
• Your Aeroplan member number will be disclosed to Aeroplan to be used to credit your Aeroplan account with points earned through participation in the Program. 
• Your booking and travel activity information (e.g., flights booked, travel dates, fare class), will be used to administer the Program, and generate Program reporting, which will be shared with the Eligible Business. 
• Your contact information will be used to communicate with you, including offers related to the Embarq Program.

Air Canada will disclose the relevant personal information listed above to Aeroplan for the purpose of crediting Aeroplan points to the designated Aeroplan account and otherwise administering the Program. Your information will be collected, used and disclosed by Aeroplan in accordance with its Privacy Policy.

Air Canada may also disclose your personal information to third parties as required or permitted by law, in accordance with its Privacy Policy.

5. Program Benefits

The Program offers benefits which are subject to eligibility requirements and may not be available for all fare types, booking classes, routes, or transactions. 

If you are eligible to receive higher benefits by virtue of ticket class or Aeroplan membership status, those benefits will either enhance or take precedence over the Program.

6. Limitation of Liability 

Air Canada (including its affiliates and representatives) assumes no liability to you for any reason whatsoever, including without limitation, as a result of any change or termination of the Program, any changes to accumulation or redemption requirements, or for any errors relating to your Eligible Traveller account or Program information, nor is Air Canada responsible for unauthorized access to your account. 

By enrolling in or participating in the Program, you agree to release and discharge Air Canada, its affiliates and representatives, and each of its and their respective officers, directors, agents, representatives, successors and assigns, from any loss, liability, claim, demand, damage or expense asserted by any person or entity including, without limitation, relating in any way to the Program, your participation as an Eligible Traveller in the Program, or the accumulation, redemption or use of any product or service obtained in connection with the Program. 

To the maximum extent permitted by applicable law, in no event shall Air Canada, including its affiliates and representatives, and each of its and their respective officers, directors, agents, successors and assigns, be liable for any indirect, punitive, incidental, special, economic, exemplary or consequential damages of any kind, which arise out of or are in any way connected with your participation as an Eligible Traveller, the Program or these Terms and Conditions. 

7. Governing Law

The Program, including these Terms and Conditions, shall be governed by the laws of the province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles. 

8. Dispute resolution

Any dispute or claim arising out of or in connection with the Program and its Terms and Conditions offered by Air Canada shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.

9. Communications

You will receive Program-related communications by email. You may unsubscribe from promotional emails at any time.

10. Conditions of Carriage

All transportation and related service provisions are subject to Air Canada’s  General Conditions of Carriage and Tariffs conditions of carriage. Air Canada’s General Conditions of Carriage and Tariffs shall prevail.

11. Other Terms

Eligible Scheduled Flights provide for Aeroplan points accrual based on how much you spend. Aeroplan points earned are based on the base fare and carrier surcharges excluding applicable taxes, fees, and third-party charges. The following is an example and does not accurately display the points accrual amount and is not indicative of the actual pricing of the Eligible Fare for this Offer: 

An Eligible Scheduled Flight consisting of base fare and carrier surcharges amounting to 600 CAD, may result in a base Aeroplan point accumulation of 600 Aeroplan points. The Aeroplan Member may accumulate an additional 300 bonus Aeroplan points, for a total of 900 Aeroplan points (0.5X more than the 600 base Aeroplan points).

Offer is a bonus Aeroplan points multiplier on the base Aeroplan points awarded on the base fare and carrier surcharges only, and is not a multiplier of any other bonus offer or any other multiplier, including without limitation the Aeroplan Elite Points Multiplier.

Eligible Scheduled Flights do not include codeshare flights, partner flights, interline flights, flights purchased through Air Canada Vacations, or flights booked under specialty fares.
• "Eligible Fare” refers to Air Canada published fares exclusively eligible for this Offer: Economy Standard, Economy Flex, Economy Comfort, Economy Latitude, Premium Economy Standard, Premium Economy Basic, Premium Economy Latitude, Business Class Basic, Business Class Standard, Business Class Latitude. Not applicable on Economy Basic fare.
